Terms of service
The following existing in-app Terms of Service are preserved from version 1.0, dated September 10, 2026. The public website does not change accepted terms. The additional launch provisions in the review packet are proposed for counsel review.
Agreement to the Terms
These Terms govern access to and use of Unique Practice (UP), including the behavioral-health EHR, practice-management tools, client portal, billing workflows, integrations, and related services. By creating or using an authorized practice account, the practice and its authorized users agree to follow these Terms.
Authorized Use
UP is intended for legitimate behavioral-health and healthcare-practice operations. Each practice is responsible for ensuring that its users are appropriately authorized, trained, licensed or supervised when required, and permitted to access the records and functions made available to them.
Account and Security Responsibilities
Practices and users are responsible for protecting login credentials, maintaining accurate staff access and permissions, promptly disabling access that is no longer appropriate, and using reasonable safeguards for devices and networks used to access UP.
Clinical Responsibility
UP provides software tools and workflow support. It does not make clinical decisions, replace professional judgment, determine scope of practice, or guarantee that a documentation, billing, diagnosis, treatment, supervision, or medication-management decision is clinically or legally appropriate.
Billing and Payer Information
Eligibility, benefit estimates, claim-routing information, payer rules, expected client responsibility, and similar billing information may change. Practices remain responsible for confirming payer requirements and reviewing claims and financial information before relying on them for final billing decisions.
Third-Party Services and Integrations
UP may connect with third-party services such as payment processors, clearinghouses, telehealth platforms, calendar providers, and future prescribing vendors. Each third-party service is governed by its own terms, privacy practices, security controls, fees, and availability. A practice is responsible for maintaining any third-party account, agreement, authorization, or Business Associate Agreement required for its use.
Telehealth and Zoom
When a practice or provider connects Zoom or another third-party telehealth service, the practice or provider is responsible for obtaining and maintaining any required Business Associate Agreement and for configuring the third-party account appropriately for HIPAA-regulated use. UP does not represent that connecting an account, by itself, makes that third-party account HIPAA compliant.
Data, Records, and Availability
The practice remains responsible for the accuracy of information entered into UP and for complying with applicable record-retention, release, amendment, correction, and legal-process requirements. UP may use reasonable maintenance windows and may depend on third-party services that can experience outages or delays.
Fees and Subscription
Commercial subscription pricing, usage fees, optional integrations, implementation services, and payment terms will be described in the practice's order, subscription, or account materials. Nonpayment may result in restrictions consistent with the applicable agreement and legal requirements.
Prohibited Conduct
Users may not attempt unauthorized access, bypass security controls, use another person's credentials, introduce malicious code, improperly disclose protected information, use UP for unlawful purposes, or interfere with the service or another practice's data.
Intellectual Property
UP and its software, branding, interface, documentation, and original product materials are owned by or licensed to Unique Practice and are protected by applicable intellectual-property laws. Practices retain ownership and responsibility for their own clinical and business content, subject to the permissions necessary for UP to provide the service.
Service Changes and Termination
UP may improve, add, modify, or discontinue product functionality. Account termination, data access, export, and transition obligations will be handled in accordance with the practice's applicable agreement, law, and any Business Associate Agreement.
Disclaimers and Limitation Framework
UP is provided as healthcare-practice software and is not a guarantor of payer payment, clinical outcomes, uninterrupted third-party services, or regulatory compliance by a practice. Any final warranty, indemnification, limitation-of-liability, governing-law, dispute-resolution, and related commercial provisions should be reviewed in the executed agreement and by qualified counsel before commercial launch.
Contact and Updates
UP may update these Terms as the service evolves. Material updates may require a practice owner or administrator to accept a new version before continuing. The application keeps an acceptance record showing the version, practice, user, and date/time.
